# Terms Of  
Service.

The agreement between you and Ideanab Private Ltd covering koso.ai, the free AI agents and the work we do for clients. Governed by the law of England and Wales, and written to be understood rather than endured.

## 01Who you are contracting with

koso.ai is operated by Ideanab Private Ltd, which trades as Koso. In these terms "we", "us" and "Koso" mean that company, and "you" means the person or organisation using the site.

## 02Accepting these terms

By using koso.ai, running one of the free AI agents, booking a call or sending us an enquiry, you agree to these terms and to our [Acceptable Use Policy](/acceptable-use), which forms part of them. If you do not agree, please do not use the site.

We may change these terms, and will post the new version here with a new date at the top. Changes apply from the moment they are posted, so check back when it matters. If a change is material and we hold an email address for you, we will tell you.

## 03Who may use the site

* You must be at least 18 years old.
* If you use the site on behalf of an organisation, you confirm you have authority to bind it, and these terms bind that organisation.
* Our services are aimed at businesses and institutions. Sections marked as applying to consumers apply if you are acting wholly or mainly outside your trade, business, craft or profession.
* You must not use the site if the law where you are forbids it, or if we have previously suspended you.

## 04The site and the free AI agents

We grant you a personal, revocable, non-exclusive, non-transferable licence to use koso.ai and the free agents for your own business or personal evaluation purposes, in line with these terms.

The agents are made available free of charge and are provided as they stand. We may change them, limit how many runs you get, put features behind sign-in, or withdraw an agent entirely, at any time and without notice. We do not promise the site will be available without interruption, that a run will complete, or that a result you have seen will still be there tomorrow.

Agent output is information, not advice.

A domain appraisal is not a professional valuation. Company research is not investment or credit advice. A readiness score is not a legal, security or compliance certification. A workflow blueprint is not an engineering guarantee. Verify anything you intend to rely on, and take professional advice before acting on it.

## 05Sign-in and account security

* The agents allow one run without signing in. After that you sign in with your name and email address, and we confirm the mailbox with a one-time code. There is no password to lose.
* Give us an address that is genuinely yours. Disposable and role-based mailboxes may be refused.
* You are responsible for what happens under your session, and for keeping your mailbox and device secure. Tell us straight away if you think someone else is using your session.
* We may suspend or close a session or account that breaches these terms or the Acceptable Use Policy, or that puts the service or other users at risk.

## 06What you submit

You keep every right you already have in the text, URLs, documents and other material you submit ("your content"). You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit and process your content for as long as we need it to run the service, support you, keep the service safe and lawful, and improve it.

You confirm that, for everything you submit:

* you own it or have the rights to submit it, and our processing of it will not infringe anyone's rights;
* it is not confidential to someone who has not agreed to it being submitted;
* it contains no personal data about other people, and no special category data;
* it is not unlawful, defamatory, obscene, harassing, or otherwise in breach of our Acceptable Use Policy.

We may remove content that breaches these terms, and may retain and disclose it where the law, a court or a regulator requires.

## 07AI outputs

* As between you and us, you may use the output an agent produces from your input for your own purposes, including commercially.
* Output is generated by statistical models. It may be inaccurate, incomplete, out of date, or confidently wrong, and it is not reviewed by a human before you see it.
* Output is not unique to you. Another user submitting a similar input may receive materially similar output, and we make no claim of exclusivity or originality in it.
* You are responsible for checking output before you rely on it, publish it, or make a decision on the strength of it.
* You must not present output as professional advice from us, or as a certified valuation, audit or assessment.

How we handle the data behind a run, including what leaves our systems and what we store, is set out in the [Privacy Policy](/privacy).

## 08Our intellectual property

The site, its design, copy, code, prompts, pipelines, frameworks, scoring methods, reports and logos are owned by us or our licensors and are protected by copyright, database right, trade mark and other rights. "Koso" and our logo are our marks. You may read the site and share a link to it. You may not copy, scrape, mirror, republish, sell, reverse engineer, or use any part of it to build or train a competing product or model, except to the limited extent the law allows and cannot be excluded.

## 09Paid work, training and education

Nothing on this site is an offer capable of acceptance, and prices or packages shown are indicative. Paid work begins when we both sign a proposal, statement of work, engagement letter or order (an "Engagement Agreement").

* Where an Engagement Agreement and these terms conflict, the Engagement Agreement wins for that engagement.
* Fees, deliverables, milestones, acceptance, ownership of deliverables, warranties and any data-processing terms are set out there, not here.
* Unless the Engagement Agreement says otherwise, invoices are payable within 14 days, in the currency stated, and we may charge statutory interest and costs on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
* Unless the Engagement Agreement says otherwise, we keep ownership of our pre-existing materials, tools and know-how, and licence them to you as far as you need to use the deliverables.

## 10Third-party services and links

The site links to third-party sites and embeds third-party services, including model providers, a voice assistant, scheduling and payment tooling. We do not control them, we do not endorse everything they contain, and your use of them is governed by their own terms. Where our service depends on a third party, an outage or change on their side may affect what we can deliver.

## 11Disclaimers

To the fullest extent the law allows, the site and the free agents are provided "as is" and "as available", and we exclude all implied warranties, conditions and terms, including as to satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.

We do not warrant that the site will be uninterrupted, secure or error-free, that defects will be corrected, or that the site or the servers behind it are free of harmful components. You are responsible for configuring your own technology to access the site and for using your own virus protection.

Nothing on the site constitutes legal, financial, tax, investment, security or other professional advice, and no reliance should be placed on it.

## 12Our liability

### What we never exclude

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

### If you are a business user

* We are not liable for loss of profit, loss of business, business interruption, loss of anticipated savings, loss of goodwill or reputation, loss or corruption of data, or any indirect or consequential loss, however it arises.
* We are not liable for any loss arising from your reliance on AI output, or on any information on the site, in place of your own verification or professional advice.
* Our total liability arising out of or in connection with the site and the free agents, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited in aggregate to £100.
* Liability arising out of paid work is governed by the cap and exclusions in the relevant Engagement Agreement, and not by the £100 above.

### If you are a consumer

We are liable for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, but not for loss or damage that is not foreseeable. We do not exclude or limit your statutory rights under the Consumer Rights Act 2015 in any way. We supply the site for domestic and private use, and we have no liability for any business loss you suffer.

## 13Indemnity

If you are a business user, you will indemnify us against any losses, liabilities, costs and reasonable legal fees we incur arising from your breach of these terms or of the Acceptable Use Policy, from your content, or from your use of AI output. This section does not apply to consumers.

## 14Suspension and termination

We may suspend, restrict or end your access to the site or the agents, with or without notice, if you breach these terms or the Acceptable Use Policy, if we reasonably suspect fraud or abuse, or if we have to for legal or security reasons. You may stop using the site at any time, and can ask us to delete your agent account through the [Privacy Policy](/privacy) route.

The sections on your content, our intellectual property, disclaimers, liability, indemnity and governing law survive the end of your use of the site.

## 15General

* **Events outside our control.** We are not liable for failure or delay caused by something beyond our reasonable control, including provider outages, network failures and acts of government.
* **No waiver.** If we do not insist on a right straight away, that does not mean we have given it up.
* **Severance.** If a court finds part of these terms unlawful, the rest continues in force.
* **Assignment.** You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor of our business.
* **Third parties.** Except as stated, no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
* **Entire agreement.** These terms, the Acceptable Use Policy and the Privacy Policy are the whole agreement about the site, and replace anything said before. Any paid work is additionally governed by its Engagement Agreement.

## 16Governing law and jurisdiction

These terms, their subject matter and their formation are governed by the law of England and Wales.

If you are a business user, the courts of England and Wales have exclusive jurisdiction over any dispute arising out of them.

If you are a consumer, the courts of England and Wales have non-exclusive jurisdiction, and you may also bring proceedings in the part of the United Kingdom in which you live: Scottish and Northern Irish consumers may sue in their own courts as well as in England and Wales.
